Privacy Policy

This is the privacy policy for the Meanwhile pre-seed investor portal at meanwhile.so/raise. It is operated by Meanwhile Solutions, Inc., a Delaware C-corp ("Meanwhile," "we," "us").

The portal is invite-only. If you got here, JD, Tyler, or Alec sent you a link with an invite code in it.

What we collect

You give us, when you commit:

• Legal name
• Email address
• Phone number (optional)
• Mailing address
• State of residence
• Your IP address at the moment you sign
• Two checkboxes: that you are an accredited investor, and that you are not on a sanctions list

Your browser tells us, while you read the pitch:

• Pages you view, and for how long
• How far you scroll
• How much of each video you watch
• Whether you come back later
• A device-fingerprint hash — an HMAC of your IP address, user agent, and browser language. We store the hash, not the inputs.

We don't run third-party analytics. The collection above happens on our own servers.

Why we collect it

• So the founders know which invitees are reading the pitch and which aren't.
• So we can match an incoming wire to the commitment that triggered it, via the reference code on the wire memo.
• So the SAFE PDF can be generated with your information already filled in.
• So we can email you the things you'd expect to receive: a confirmation when you commit, a magic-link if you log into the investor portal, and the monthly investor update once you're on the cap table.

Who we share it with

We share data with three categories of recipients, and only these:

• Resend — delivers our transactional email. They see your name and email when we send you a confirmation, magic-link, or update.
• Cloudflare — hosts the site and the database. All data passes through their infrastructure.
• The SEC and state securities regulators — Reg D 506(b) requires us to file a Form D federally and notice filings in your state of residence. Your name, address, and committed amount appear in those filings as a matter of law.

We don't sell, rent, or share your data with anyone for marketing purposes. Ever. There is no marketing on this portal.

How long we keep it

• Commitment data — your name, address, the SAFE you signed, the wire confirmation, the cap-table entry — we keep indefinitely. It's part of the investment record and we are required to retain it as long as you are a security holder.
• Behavioral telemetry — page views, scroll depth, video progress, fingerprint hashes — we keep for 24 months and then delete.

Your rights

If you live in California (or anywhere else with similar laws), you can ask us to:

• Tell you what we have on you.
• Send you a copy.
• Delete it, except for what we are required by securities law to retain.

Email founders@meanwhile.so from the address on file. We will respond within 30 days.

Security

The portal runs on Cloudflare. Data at rest is encrypted by the platform. Data in transit uses TLS. The investor portal is gated by magic-link sessions tied to the email you committed under.

We are a small team. We have not yet been audited under SOC 2 or ISO 27001 and we don't claim those certifications.

Children

The portal is for accredited investors. It is not directed at anyone under 18 and we do not knowingly collect data from minors.

International

Meanwhile is a Delaware company. The portal is hosted in the United States. If you access it from outside the U.S., your data is transferred to and processed in the U.S.

Changes

If we change this policy, we'll update the effective date at the top, and email everyone on the cap table if the change is material.
